ChasmJumpers Terms and Conditions

1. Introduction

ChasmJumpers ("we," "us," or "our") is a marketplace technology platform that connects startup founders ("Founders") with professional testers ("Testers") for product validation and feedback missions. These Terms govern your use of our website and web application. By accessing ChasmJumpers, you agree to these terms.

ChasmJumpers is a marketplace technology platform and is not a bank, money transmitter, payment processor, or financial institution. ChasmJumpers does not hold, transfer, or process funds on behalf of any user. All payment processing is performed exclusively by licensed third-party payment service providers, as described in Section 5 below.

2. Eligibility

  • You must be at least 18 years old to use ChasmJumpers.
  • By registering, you confirm that all provided information, including professional certifications and technical skills, is accurate.
  • The platform is available only to users who are not subject to any economic sanctions or trade restrictions imposed by Canada, the United States, the European Union, or any other applicable jurisdiction.

3. User Accounts

  • Both Founders and Testers must create an account to access the platform.
  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • ChasmJumpers is not liable for unauthorized activity resulting from your failure to secure your account.

4. Use of the Platform: The Mission Handshake

  • Founders: May post missions, provide testing instructions, and specify rewards. Founders must review "Handshake Justifications" from Testers before granting access to mission credentials.
  • Testers: May browse missions and request participation. Participation is only permitted once a Founder has explicitly approved the application through the platform's approval workflow.
  • Independent Contractors: Testers are independent contractors, not employees or agents of ChasmJumpers or of any Founder. ChasmJumpers facilitates the connection between Founders and Testers but is not a party to the service agreement between them. Founders confirm they will engage all Testers as independent contractors and will not exercise control over how they perform their work.
  • Prohibited Use: Users must not use the platform for fraudulent activities, including providing false feedback or sharing sensitive mission credentials outside the "Vault".

5. Payments and Rewards

5.1 Payment Processing

All payments on the ChasmJumpers platform are processed exclusively by licensed third-party payment service providers. ChasmJumpers currently uses PayPal and Tremendous to facilitate payments between Founders and Testers. By using the platform, you agree to the applicable terms of service of these payment processors:

ChasmJumpers does not hold, custody, escrow, or transmit funds at any point in the payment process. The role of ChasmJumpers is limited to authorizing and instructing our payment processors to release funds in accordance with mission outcomes. All funds are held and transmitted solely by our licensed payment processors.

5.2 Mission Funding

Founders authorize payment through our designated third-party payment processor (currently PayPal) prior to mission publication. This authorization allows the payment processor to hold funds earmarked for the mission reward. ChasmJumpers does not take custody of these funds at any time.

5.3 Tester Payouts

Testers receive compensation through our designated third-party payment processors upon the Founder's verification of the submitted feedback, as outlined in the mission details. Payouts are executed directly by the payment processor to the Tester's designated payout account (e.g., PayPal account or Tremendous-supported method).

5.4 Non-Circumvention

Users may not offer, solicit, accept, or arrange compensation for missions outside of the ChasmJumpers platform and its designated payment processors. Any attempt to transact, pay, or receive payment outside of the platform for services connected to a ChasmJumpers mission is a material breach of these Terms and may result in permanent account suspension.

If you have been asked to make or receive payment outside of the platform, please report it immediately to our support team.

5.5 Payment Disputes

ChasmJumpers may assist in the administrative review of payment disputes arising from mission completion or feedback quality — for example, by evaluating whether submitted feedback meets the mission requirements. ChasmJumpers' role in any such dispute is administrative only: we review mission data and instruct our payment processors accordingly. ChasmJumpers does not arbitrate, hold, or return funds directly; any refunds or adjustments are executed by the applicable payment processor per their terms.

6. Intellectual Property & Confidentiality

  • Feedback Ownership: Unless otherwise agreed, the feedback and data provided by Testers are owned by the Founder who commissioned the mission.
  • Confidentiality: Testers may be granted access to "Sandbox" or pre-release environments. Testers agree to maintain strict confidentiality regarding all non-public information accessed during a mission.

7. Content Moderation

  • We reserve the right to remove any mission or user profile that contains offensive, illegal, or inappropriate content.
  • Users may be suspended for "ghosting" missions or failing to provide the level of professional feedback expected by the platform community.

8. Limitation of Liability

  • ChasmJumpers is a facilitator and is not responsible for the performance of the software being tested or the specific outcomes of any mission.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
  • ChasmJumpers is not liable for any acts, errors, outages, or failures of our third-party payment processors (including PayPal and Tremendous). Any disputes regarding payment processing must be directed to the applicable payment processor in accordance with their terms of service.

9. Account Termination

  • We reserve the right to terminate or suspend your account at any time, without notice, for conduct that violates these Terms.
  • You may close your account at any time through your account settings.

10. Governing Law

  • These Terms are governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles.
